Our History
Founded in 1980 by industry veterans Dave Fricker and John Stevens, DSS has evolved from a specialized company secretarial firm to a full-service professional services provider, lead by Kopanang Thekiso and Stephen Pezarro and assisted by a team of 21 professional and clerical staff. DSS operates a collaborative model through an extensive network of local and internationally based individuals and firms, to ensure our clients have access to the necessary expertise and experience to serve their requirements. In December 2023 DSS merged with Corpserve Botswana to acquire 20 years of experience in providing support services to public companies assisting with their investor management obligations.

I have prepared my books of account and have management accounts but the Companies Act and BURS require that I prepare my financial statements in accordance with IFRS - can DSS assist?
The accounting team utilise their many years of practical experience and state of the art software systems to compile IFRS compliant financial statements.
Can DSS manage my payroll function and pay my employees to ensure there is confidentiality of this information?
DSS utilise PaySpace cloud based HR software to run payrolls and ensure clients and their employees have all the benefits of an integrated HR management system without the stress and risk associated with managing this key function internally.
I am opening a new shop in Maun can DSS assist me to secure the required licence?
DSS, directly and through agents outside of Gaborone can assist clients to identify and secure their licencing requirements.
What is a non-exempt private company (“NEPC”) and what is the difference between a NEPC and an exempt private company?
A private company that meets any one of the following criteria qualifies the company as a NEPC
- Has assets with a cost exceeding P5m, or
- Has a turnover exceeding P10m per annum, or
- Has a company as a shareholder
A NEPC has to, amongst others:
- prepare financial statements in accordance with International Financial Reporting Standards and have them audited.
- Submit their audited annual financial statements to CIPA

Can DSS advise what tax I must pay and how I deal with BURS.
Yes, DSS are well placed to advise on your taxation liabilities and responsibilities in connection with your business activities in Botswana and can facilitate your interaction with BURS through submission of tax returns on your behalf and dealing with any queries that may arise.
Can DSS be appointed as a liquidator or judicial manager?
No, a liquidator is always an individual, appointed by the Master of the High Court and is answerable to creditors and the Master. Kopanang Thekiso has been appointed as liquidator in a numerous high-profile liquidations and others where considerable value has been achieved for creditors. Kopanang is supported by the DSS team in the execution of his responsibilities.
